You agree by clicking Signup or similar registry assessing or using our services, you are agreeing to enter into a legally binding and enforceable contract with ShowQR.in (hereinafter referred to as ShowQR) and this agreement is made effective as of the date of electronic acceptance. If you do not agree to the terms of this Agreement, please do not sign up and do not access or use the services provided by ShowQR. further, if you wish to terminate this Agreement at anytime, you can close or delete the account with ShowQR.
This Agreement is applicable on all the services provided by ShowQR either through web based browser or application and by app and by agreeing to the terms and conditions of this Agreement, you shall be referred to as Member of ShowQR and services as per your selected plan.
ShowQR reserve all its right and absolute and sole discretion to change or modify this Agreement, Privacy Policy from time to time without any intimation or notice to you and you are expected to read the latest version of the Terms and Conditions of this Agreement and in case you have any reservation with respect to changes carried out in the terms and conditions of this Agreement by us you may close or delete your account. In case you continue to use our services it is deemed that you have given your consent to the terms and conditions of this Agreement or updated Agreement and you agree to the same. ShowQR assumes no liability or responsibility for your failure to receive an email notification if such failure results from an inaccurate email address. ShowQR RESERVES THE RIGHT TO MODIFY, CHANGE, OR DISCONTINUE ANY ASPECT OF THIS SITE OR THE SERVICES, INCLUDING WITHOUT LIMITATION PRICES AND FEES FOR THE SAME, AT ANY TIME.
As the services offered by ShowQR are of premium quality and related to the business, therefore, by signing up to this Agreement, you represent that you are the above 18 years of age and have capacity to enter into legally binding and enforceable agreement. You also represents that you are availing this services under your real name. Please do note that creation of account with false information is in violation of our terms and conditions and law and ShowQR have all the rights to suspend or block you from excessing the services and all the money paid to ShowQR will stand forfieted without any further notice.
If you are entering into this Agreement on behalf of a corporate entity, you represent and warrant that you have the legal authority to bind such corporate entity to the terms and conditions contained in this Agreement, in which case, the terms “you”, “your”, “user”or “customer” shall refer to such corporate entity. If after your electronic acceptance of this Agreement, ShowQR finds that you do not have the legal authority to bind such corporate entity, you will be personally responsible for the obligations contained in this Agreement, including, but not limited to, the payment obligations. ShowQR shall not be liable for any loss or damage resulting from ShowQR’s reliance on any instruction, notice, document or communication reasonably believed by ShowQR to be genuine and originating from an authorised representative of your corporate entity.
You being account holder agree to use a strong password and shall keep it confidential. You shall not transfer your account to anyone in any circumstances and you shall always be following the business and professionals ethics and guidelines as may be applicable on your profession and you shall be responsible for anything that will happen through your account with ShowQR and you agree that contents posted by you is of your own and you have not violated any third party rights or intellectual property rights of any third party. You are solely responsible for the activity that occurs on your account, whether authorised by you or not, and you must keep your Account Information, secure, including without limitation your customer number/login, password, Payment Method(s). For security purpose, ShowQR recommends that you change your password at least once every __ months for each account. You must notify ShowQR immediately of any breach of security or unauthorised use of your account. ShowQR will not be liable for any loss you incur due to any unauthorised use of your account. You, however, may be liable for any loss ShowQR or others incur caused by your account, whether caused by you, or by an authorised person, or by an unauthorised person.
As you will be accessing our premium paid services you agree to pay us the applicable fee and applicable taxes on time. Failure to pay the said fee will result in termination of premium paid services and you also agree that you shall pay the amount in Indian rupee and any foreign exchange fee shall be born by you. You can pay and store your Payment Method for timely payment of the aforesaid fee.
You agree that you own the content and information that you submit or post on ShowQR for availing the services and you are granting ShowQR worldwide, transferrable and sublicensable right to use, copy, modify, distribute, publish and process information and content that you provide through ours services without any further consent or notice and/or consideration to you or others.
You agree that you are providing content or information that does neither violate any law nor anyone's right including intellectual property right and you are expressly representing and assuring ShowQR that the information and content provided by you are lawful and of high standard. You agree that if ShowQR notified by any third party about any violation or concern with respect to the contents or information, ShowQR can remove or sensor or delete or removed certain or entire information or content. You agree that ShowQR have not represented or promised to you to store or keep showing all the information and content that you have posted on ShowQR and you discharge ShowQR from all such obligations.
You acknowledge and agree that your user submissions or subscription of plan are entirely voluntary, do not establish a confidential relationship or obligate ShowQR to treat your information as confidential or secret, that ShowQR have no obligation, either express or implied, to develop or use your information, and no compensation is due to you or to anyone else for any intentional or unintentional use of your data or information, and that ShowQR may be working on the same or similar content, it may already know of such content from other sources, it may simply wish to develop this (or similar) content on its own, or it may have taken/will take some other action. In addition to terms aforesaid, ShowQR shall own exclusive rights (including all intellectual property and other proprietary rights) to any information posted on this site, and shall be entitled to the unrestricted use and dissemination of any information posted to this site for any purpose, commercial or otherwise, without acknowledgement or compensation to you or to anyone else.
Subject to the terms and conditions of this Agreement and our other policies and procedures, we shall use commercially reasonable efforts to attempt to provide this Site and the Services on a twenty-four (24) hours a day, seven (7) days a week basis. You acknowledge and agree that from time to time this site may be inaccessible or inoperable for any reason including, but not limited to, equipment malfunctions; periodic maintenance, repairs or replacements that we undertake from time to time; or causes beyond our reasonable control or that are not reasonably foreseeable including, but not limited to, interruption or failure of telecommunication or digital transmission links, hostile network attacks, network congestion or other failure. You acknowledge and agree that we have no control over the availability of this site or the services on a continuous or uninterrupted basis, and that we assume no liability to you or any other party with regard thereto.
ShowQR reserve the right to change its prices and fees at any time, and such changes shall either be posted online at this site and effective immediately without need for further notice to you or notice shall be provided to you by email at its sole discretion or notification on the website. If you have purchased or obtained services for a period of months or years, changes in prices and fees shall be effective when the services in question come up for renewal.
Except as prescrived in any product specific agreement, you may pay for services by using any of the following payment methods (i) Valid Credit Card or Debit Card, (ii) UPI ID; (iii) Net banking; (iv) RazorPay; or (iv) any other method you use to pay for services as determined by ShowQR in its sole and absolute discretion, each a Payment Method. You would be entitled to avail the services upon receipt of payment in the bank account of ShowQR. Confirmation of the order will be sent to the email address on file for your account. Your Payment Method on file must be kept valid if you have any active Services in your Account. In addition, you agree that the location for the processing of your payments may change for any reason, including the type of Payment Method choses, irrespective of the same, for all legal purposes, payment receipt shall always be considered as received in Ponda, North Goa, Goa only.
In case, you are being billed on a monthly basis, your monthly billing date will be based on the month you purchased the services.
All sales are final and ShowQR does not offer any money back guarantees. You recoginsed and acknpwledge that before availing the subscription based services, you have availed free trial of your selected subscription based servies and you got familiarised with the selected subscription based services, options available, look and feel of the product, mercantability and usage of the services by you, accordingly, you agree that once payment is made to ShowQR, the amount shall not refunded back to you in any eventuality even upon cancellation of your customer account with ShowQR. and you forfeit all your right to seek refund of the payment made to ShowQR. You also agree that there are no refunds for cancellation. In the event, ShowQR suspends or terminates your services under this agreement, you understand and agree that you shall receive no refund or exchange for any unused time on a subscription, any subscription fees for any portion of the services, any content or data associated with your account, or for anything else.
This site and the services found at this site may contain links to third party websites that are not owned or controlled by ShowQR. ShowQR assumes no responsibility for the content, terms and conditions, privacy policies, or practices of any third party websites. In addition, ShowQR do not censor or edit the content of any third party websites. By using this site or the services found at this site, you expressly release ShowQR from any and all liability arising from your use of any third party website. YOU AGREE THAT TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, ShowQR DISCLAIM ANY IMPLIED OR STATUTORY WARRANTY, INCLUDING ANY IMPLIED WARRANTY OF TITLE, ACCURACY OF DATA, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
IN ADDITION, YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT AUTO GENERATED OUTPUTS INCLUDING TEXT, LOGOS, NAMES, SLOGANS, ETC., HAVE NOT BEEN REVIEWED FOR ACCURACY OR INTELLECTUAL PROPERTY CLEARANCE. SHOWQR MAKES NO REPRESENTATION, WARRANTY OR GUARANTEE AS TO THE ACCURACY, RELIABILITY, WHETHER OUTPUTS MAY INFRINGE ON THIRD PARTY INTELLECTUAL PROPERTY RIGHTS ETC., YOU SHOULD SEEK INDEPENDENT PROFESIONAL LEGAL ADVICE BEFORE YOU RELY ON ANY AUTO GENERATE OUTPUT.
THE FOREGOING DISCLAIMER OF REPRESENTATIONS AND WARRANTIES SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW, AND SHALL SURVICE ANY TERMINATION OR EXPIRATION OF THIS AGREEMENT OR YOUR USE OF THIS SITE OR THE SERVICES FOUND AT THIS SITE.
TO THE FULLEST EXTENT PERMITTED BY LAW, UNLESS ShowQR HAS ENTERED INTO A SEPARATE WRITTEN AGREEMENT WITH YOU THAT OVERRIDES THIS AGREEMENT, ShowQR WILL NOT BE LIABLE IN CONNECTION WITH THIS AGREEMENT FOR LOSS OF PROFITS OR LOSS OF ANY BUSINESS OPPORTUNITIES, REPUTATION, LOSS OF DATA OR ANY DIRECT OR INDIRECT, INCIDENTAL OR CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES. SHOWQR WILL NOT BE LIABLE TO YOU IN CONNECTION WITH THIS AGREEMENT FOR ANY AMOUNT THAT EXCEEDS (A) ONE MONTH’S FEES PAID OR PAYABLE BY YOU TO SHOWQR.IN FOR THE SERVICES DURING THE TERM OF THIS AGREEMENT, IF ANY, OR (B) RS.1,000/- WHICHEVER IS HIGH.
YOU AGREE THAT the terms of this Agreement shall be govern by the Laws of India and you specifically agree to the jurisdiction of Ponda, North Goa, Goa, India and Laws of India in case of any dispute between you and ShowQR
In case you have any concern or dispute concerning the services offered or provided by ShowQR, you specifically agree to resolve the dispute amicably with the ShowQR.
If any provisions of these Terms is held to be enforceable or invalid, such provision will be deemed to be severed from this Agreement and every other provisions of this Agreement shall remain in full force and effect.
You agree to protect, defend, indemnify and hold harmless ShowQR and its officers, directors, agents, and third party service providers from and against any and all claims, demands, costs, expenses, losses, liabilities and damages of every kind and nature (including, without limitation, reasonable attorney’s fees) imposed upon or incurred by ShowQR directly or indirectly arising from (i) your use of and access to this site or the services found at this site; (ii) your violation of any provision of this Agreement or the policies or agreements which are incorporated herein; and/or (ii) your violation of any third party right, including without limitation any intellectual property or other proprietary right. The indemnification obligations under this section shall survice any termination or expiration of this Agreement or your use of this site or the services found at this site.
ShowQR makes no representation or warranty that the contents available on this site or the services found at this site are appropriate in every country or jurisdiction, and access to this site or the services found at this site from countries or jurisdictions where its content is illegal is prohibited. Users who choose to access this site or the services found at this site are responsible for compliance with all local laws, rules and regulations.
